1. Definitions

• “Company,” “we,” “our,” or “us” refers to CodeClinic.
• “Client,” “you,” or “your” refers to the individual or business entering into an agreement with CodeClinic.
• “Services” include all web, app, software development, digital marketing, consultation, maintenance, and related offerings provided by CodeClinic.
• “Agreement” refers to the engagement contract between the Client and CodeClinic, governed by these Terms.

2. Scope of Services

We provide customized IT solutions including:

• Web and mobile app development
• Software solutions
• Digital marketing
• Maintenance and support
• UI/UX and frontend/backend development

All services will be delivered based on mutually agreed project scopes, timelines, and milestones. Any changes in requirements may impact cost and delivery schedules.

3. Intellectual Property

• All intellectual property rights of deliverables developed under the Agreement remain the property of the Client upon full payment, unless otherwise stated.
• Pre-existing tools, frameworks, or reusable code libraries owned by CodeClinic and used during the development remain our intellectual property.

4. Confidentiality

• Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement.
• Neither party shall disclose such information to third parties without prior written consent, except where required by law.

5. Payment Terms

• All fees are to be paid as per the agreed proposal or Statement of Work (SOW).
• Invoices are payable within [typically 7, 14, or 30] days of receipt.
• Late payments may result in interest charges and/or suspension of services.

6. Project Timelines

• CodeClinic will provide estimated timelines for deliverables based on initial project scope.
• Delays caused by the Client (e.g., delayed approvals, content provision) may result in revised delivery dates.
• Any scope changes must be documented and may require additional charges and time extensions.

7. Warranties and Disclaimers

• We warrant that services will be delivered using reasonable skill and care consistent with industry standards.
• CodeClinic does not guarantee that the deliverables will be error-free or meet all business expectations unless specifically agreed in writing.
• We are not liable for issues arising from third-party integrations, hosting providers, or client-managed environments.

8. Limitation of Liability

To the maximum extent permitted by law:

• CodeClinic shall not be liable for indirect, incidental, or consequential damages.
• Our total liability under any agreement shall not exceed the amount paid by the Client for the services giving rise to the claim.

9. Termination

Either party may terminate the agreement by providing [30] days written notice.

• Upon termination, the Client must pay for all work completed and approved up to the termination date.
• Any deposits paid are non-refundable unless otherwise agreed in writing.

10. Third-Party Services

CodeClinic may recommend or integrate third-party tools, APIs, or platforms as part of the service delivery.

• We are not responsible for performance, uptime, or security of third-party services.
• The Client is responsible for reviewing and agreeing to third-party service terms independently.

11. Support & Maintenance

• Support and maintenance, if included, are provided based on the terms mentioned in the service contract.
• After the warranty period, ongoing support will require a separate maintenance agreement or will be billed hourly.

12. Changes to Terms

CodeClinic reserves the right to update these Terms and Conditions at any time. Changes will be posted on our website and will take effect immediately unless otherwise stated.
